Terms of Service | Gauntlix

These Terms of Service (“Terms”) govern your access to and use of Gauntlix(the “Platform”), a competitive mini-game platform operated by Elevare Fit LLC(“we,” “us,” or “our”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 13 years old to use Gauntlix. If you are under 18, you represent that you have your parent or guardian's permission to use the Platform and that they have reviewed and agreed to these Terms on your behalf. We do not knowingly collect personal information from children under 13. If we learn that we have, we will delete that information promptly.

2. Accounts

You must create an account to access most features of the Platform. You agree to:

Provide accurate and complete information when registering.
Keep your login credentials secure and not share your account with others.
Notify us immediately at mlitfin@elevarefit.org if you suspect unauthorized access to your account.
Be responsible for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or otherwise harm the Platform or its users.

3. Acceptable Use

You agree not to:

Use cheats, bots, scripts, macros, or any unauthorized automation to manipulate game scores or leaderboards.
Exploit bugs or glitches to gain an unfair advantage — report them to us instead.
Harass, threaten, or abuse other users.
Post content that is hateful, discriminatory, obscene, or illegal.
Impersonate another person or entity.
Attempt to gain unauthorized access to the Platform, its servers, or another user's account.
Interfere with the normal operation of the Platform, including via denial-of-service attacks.
Use the Platform for commercial purposes without our prior written consent.
Scrape, crawl, or extract data from the Platform without authorization.

Violations of this section may result in immediate account suspension or termination and, where appropriate, referral to law enforcement.

4. Fair Competition

Gauntlix is built on the principle that competition must be fair for every player. Premium features and paid offerings will never provide gameplay advantages, higher scores, better leaderboard performance, or any other competitive benefit over free players. All players compete on equal footing regardless of account type or purchase history.

5. Premium Features and Payments

We may offer optional paid features, subscriptions, or cosmetic items (“Premium Features”). By purchasing any Premium Feature, you agree to the following:

5.1 Pricing and Billing

All prices are listed in U.S. dollars unless otherwise stated. Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You authorize us to charge your payment method on file for recurring charges.

5.2 Refunds

All purchases are generally final and non-refundable. Exceptions may be granted at our sole discretion in cases of documented technical failure on our part that prevented access to a purchased feature. To request a refund, contact us at mlitfin@elevarefit.org within 14 days of the charge.

5.3 Virtual Items

Any virtual currency, cosmetic items, or other digital goods you obtain through the Platform have no real-world monetary value, are non-transferable, and are not redeemable for cash. We may modify, suspend, or discontinue virtual items at any time.

5.4 Taxes

You are responsible for any applicable taxes on your purchases. We will collect sales tax where required by law.

6. User-Generated Content

The Platform may allow you to submit content such as usernames, display names, profile information, forum posts, and chat messages (“User Content”). By submitting User Content, you:

Represent that you own or have the right to submit the content.
Grant Elevare Fit LLC a worldwide, royalty-free, perpetual, irrevocable license to use, display, reproduce, and distribute your User Content in connection with operating the Platform.
Acknowledge that User Content is not confidential and may be seen by other users.

We do not endorse any User Content and are not responsible for it. We reserve the right to remove User Content that violates these Terms or that we find objectionable, without notice.

7. Intellectual Property

All content on the Platform that is not User Content — including game designs, artwork, code, logos, text, and the Gauntlix brand — is owned by or licensed to Elevare Fit LLC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from Platform content without our prior written permission.

8. Leaderboards and Scores

Scores and rankings on Gauntlix are intended to reflect genuine player skill. We reserve the right to remove, adjust, or disqualify scores that we reasonably believe were obtained through cheating, exploits, or violations of these Terms. Decisions regarding leaderboard integrity are made at our sole discretion and are final.

9. Third-Party Links and Services

The Platform may contain links to third-party websites and services, including products from the Elevare Network. We are not responsible for the content, privacy practices, or terms of those third parties. Accessing them is at your own risk.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA AND APPLICABLE FEDERAL LAW, ELEVARE FIT LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION — ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) $50 OR (B) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Elevare Fit LLCand its members, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Platform, your User Content, or your violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA), conducted in Florida. You waive any right to a jury trial or to participate in a class action lawsuit.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property infringement or imminent harm.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 10, 11, 12, and 13.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the Effective Date at the top of this page. If the changes are material, we will notify you via email or a prominent notice on the Platform. Your continued use of the Platform after the effective date constitutes your acceptance of the updated Terms.
